Terms of Service

1. Agreement to Terms

By accessing or using DefineProcesses ("the Service"), operated by Qpath Concept SRL, a company registered in Romania ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Account Registration

Accounts are created via Google OAuth. You are responsible for maintaining the security of your Google account and for all activity that occurs under your DefineProcesses account. You must notify us immediately at contact@qpath.one if you suspect unauthorized access.

4. Description of Service

DefineProcesses is a process management platform that allows you to define, execute, and improve business workflows. The Service includes creating organizations, workspaces, processes, templates, and collaborating with team members.

5. Subscription Plans and Billing

Certain features require a paid subscription. Payments are processed by Stripe. By subscribing, you agree to:

  • Pay the applicable fees for your chosen plan.
  • Subscriptions auto-renew unless cancelled before the end of the billing period.
  • Plan upgrades take effect immediately; downgrades take effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored until the end of their current billing period.

6. User Content

You retain ownership of all content you create on the Service (processes, templates, tasks, etc.). By using the Service, you grant us a limited, non-exclusive license to store, display, and process your content solely to provide the Service to you.

You are responsible for ensuring your content does not violate any applicable law or third-party rights.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to the Service or its systems.
  • Interfere with or disrupt the Service or servers.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated means to access the Service without our written permission.
  • Upload malicious code, spam, or harmful content.

8. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Qpath Concept SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Qpath Concept SRL from any claims, losses, or damages (including legal fees) arising from your use of the Service, your content, or your violation of these terms.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice within the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of Romania. Any disputes shall be resolved in the courts of Romania, without prejudice to any mandatory consumer protection rights under EU law that may apply in your country of residence.
